Pennsylvania Dutch Region AACA Bylaws
ARTICLE I – NAME AND PURPOSE
Section 1. This Region shall be known as the Pennsylvania Dutch Region of the Antique Automobile Club of America.
Section 2. The purpose of this Region shall be to supplement the activities of the Antique Automobile Club of America and to provide mutual enjoyment for members.
ARTICLE II – EXECUTIVE BOARD
Section 1. The Executive Board shall consist of officers of the Region and three other elected members plus all Chapter Presidents.
Section 2. The Executive Board shall have the power to proceed in any manner as may, in their judgment, serve the interests of the Region. The decision of a majority of the Executive Board on any question shall be binding until the next regular or special meeting of the Region, when such decisions may be approved, nullified or amended, as provided for hereinafter.
ARTICLE III – OFFICERS
Section 1. The elected officers of this Region shall be a President, Vice President, Secretary- Treasurer (which may be one or two officers as desired). Said officers shall hold office for one year from the date of election or until their successors are duly elected and qualified.
Section 2. The manner for the election of officers may be prescribed by the Executive Board of the Region. All members of the Region in good standing shall be given proper notice and opportunity to vote.
ARTICLE IV – DUTIES OF OFFICERS
Section 1. President – The Region President shall preside at all meetings of the Region members and of the Executive Board. In the absence of the President, the Vice President shall preside. If both President and Vice President shall be absent, the Board may appoint a temporary President too officiate. The President shall appoint all committee chairpersons, one of whom shall be a news correspondent to Regional and National publications. The President shall have power to decide all questions of equal division and all powers and duties usually vested in the President of an organization.
Section 2. Vice President – The Region Vice President shall act as President in the absence of the President.
Section 3. Secretary – The Secretary shall handle all official correspondence of the Region and shall keep minutes of meetings of the Region members and of the Executive Board. The Secretary shall perform such other duties as may be prescribed by the Executive Board and those that pertain to the office.
Section 4. Treasurer – The Treasurer shall collect and disburse the funds of the Region as may be ordered by the Executive Board. The Treasurer shall render a financial report at the Annual Meeting of members and whenever the President or Executive Board may require the same, and shall give bond at the expense of the Region if required to do so by the Executive Board. The Treasurer shall collect all dues payable by Region members and require the showing of a valid National membership card at that time.
ARTICLE V – MEMBERS
Section 1. Members in good standing of the Antique Automobile Club of America may become members of this Region.
Section 2. Upon receipt of a properly executed application and upon submission of a current National membership card, new members shall be accepted or rejected by the Executive Board or Membership Committee if one exists.
Section 3. Dues – The amount of dues payable to the Region Treasurer shall be fixed by the Executive Board from time to time at its discretion. All payments of dues shall be made to the Region Treasurer.
Section 4. Termination of membership – The membership of an Region member may be terminated by unanimous vote of the Executive Board of the Region for conduct unbecoming a member of the Antique Automobile Club of America or other cause upon giving the member in question full opportunity to hear and to reply to the charges or reasons for such action. Any member whose Region dues are more than 60 days in arrears shall be dropped from the Region roll.
Section 5. Resignation of Membership – Any Region member may resign by tendering his resignation in writing to the Executive Board, but such resignation shall not relieve the member from payment of any dues in arrears.
ARTICLE VI – MEETING OF THE MEMBERS
Section 1. Region members shall hold at least one meeting annually for the election of officers and the transaction of the business of the Region. Special meetings may be called by the President or upon signed request of three members of the Executive Board or six members of the Region.
At least two weeks written notice shall be given to all Region members of all meeting of members.
Section 2. For purposes of conducting business at regular or special meetings of the Region, those members present shall constitute a quorum. A vote of a majority of such quorum shall sufficient to approve, nullify or amend Executive Board decisions, to elect officers, and to deal with such other items of business as may come before such meeting. Amendments or additions to these
By-Laws shall require a majority vote of all Region members in good standing,
as set forth in Article IX, Section 2.
ARTICLE VII – REGION REQUIREMENTS BY A.A.C.A.
Section 1. The members of any Region shall not, as a group, use the name of the Antique Automobile Club of America in connection with a commercial or charitable project.
Section 2. A Region or its Chapters shall not hold any activity in conflict with a National event of the Antique Automobile Club of America.
Section 3. Announcements of Region activities must be sent to the A.A.C.A. Vice President – National Activities.
Section 4. The names and addresses of all Region Officers and members must be sent to the
A.A.C.A. National Secretary-Treasurer each year immediately after local elections.
Section 5. The Antique Automobile Club of America is a non-profit organization; the members thereof shall not be entitled to any individual or collective interest, participation, share, right and/or property right in and to the assets of the Club or Region; but such assets shall be the indivisible property of the Club or Region thereof; no dividends, pecuniary profits, stock dividends or payments of like manner shall ever be declared or paid to the members of this Club or Regions thereof.
ARTICLE VIII- CHAPTERS
Section 1. Upon compliance with the requirements of the National Board of Directors, one or more Chapters may be formed as circumstances dictate within the geographical area of a Region.
Section 2. The members of every Chapter shall be members in good standing of the Antique Automobile Club of America and the parent Region. Each Chapter shall be under the jurisdiction of the Region President unless special exception is authorized by the National Board of Directors.
ARTICLE IX – AMENDMENTS OR ADDITIONS TO BY-LAWS
Section 1. No amendment shall be made that nullify or alter any part of the National Constitution or By-Laws.
Section 2. Other amendments may be made from time to time by a majority vote of the Region members in good standing upon at least two weeks written notice to all Region members stating the proposed changes.
